Welcome to Properlix. These Terms and Conditions ("Terms") govern your access to and use of the Properlix website, applications, and related software-as-a-service tools for real estate agencies, brokers, teams, and professionals (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

2. Acceptance of Terms
By creating an account, accessing the website, requesting a demo, or using any part of the Services, you confirm that you have read, understood, and agreed to these Terms. If you are using the Services on behalf of a company or agency, you represent that you have authority to bind that entity to these Terms.
3. Description of the Services
Properlix provides software tools focused on real estate operations, including CRM workflows, lead management, communications, AI-assisted automation, reporting, and related productivity features.
Some features may rely on third-party systems or integrations, such as email, calendar, telephony, messaging, analytics, or artificial intelligence providers. Functionality may evolve over time and some features may be added, modified, or discontinued.
4. Eligibility and Accounts
You must provide accurate and complete registration information and keep it updated. You are responsible for:
- maintaining the confidentiality of your account credentials;
- restricting unauthorized access to your account;
- all activities that occur under your account; and
- ensuring that your users comply with these Terms.
You must promptly notify Properlix if you suspect unauthorized access, credential compromise, or misuse of the Services.
5. Permitted Use
You may use the Services only for lawful business purposes related to your organization and in accordance with these Terms. You agree not to:
- use the Services in violation of applicable law or regulations;
- upload or transmit unlawful, infringing, defamatory, abusive, fraudulent, or misleading content;
- interfere with or disrupt the integrity, performance, or security of the Services;
- attempt to gain unauthorized access to systems, accounts, data, or networks;
- reverse engineer, decompile, or attempt to extract source code except where prohibited by law;
- use the Services to send spam or unauthorized marketing communications; or
- use AI-generated outputs without reasonable human review where accuracy is materially important.
6. Customer Data
As between the parties, you retain ownership of the data, files, records, content, and business information you submit to the Services ("Customer Data"). You grant Properlix a limited right to host, process, transmit, and display Customer Data only as necessary to provide, secure, maintain, and improve the Services and to comply with legal obligations.
You are responsible for ensuring that you have an appropriate legal basis and all necessary rights, consents, and notices for the collection and use of Customer Data, including personal data relating to leads, clients, employees, or other individuals.
7. AI Features and Output
The Services may include AI-assisted tools that generate summaries, classifications, recommendations, draft communications, content, or other outputs. AI-generated content may be inaccurate, incomplete, or unsuitable for a particular purpose.
You remain responsible for reviewing outputs before relying on them in business, legal, financial, compliance, or consumer-facing contexts. Properlix does not guarantee that AI outputs are error-free, unbiased, or fit for any specific regulatory requirement.
8. Privacy and Data Protection
Use of the Services may involve the processing of personal data. Our handling of personal data is described in the Privacy Policy. Where applicable, the parties may need a separate data processing agreement to govern controller-processor obligations.
9. Third-Party Services
The Services may interoperate with third-party services or content. Properlix is not responsible for third-party products, websites, APIs, policies, or service levels. Your use of third-party services is governed by the relevant provider's terms and privacy practices.
10. Fees and Billing
If you subscribe to a paid plan, you agree to pay all applicable fees, taxes, and charges in accordance with the pricing and billing terms presented at the time of purchase. Unless otherwise stated:
- fees are quoted exclusive of applicable taxes;
- subscriptions renew automatically until canceled;
- charges are generally non-refundable once a billing period begins, except where required by law; and
- failure to pay may result in suspension or termination of access.
Properlix may update pricing for future billing periods by providing reasonable prior notice.
11. Intellectual Property
The Services, including software, interfaces, branding, designs, documentation, and all related intellectual property rights, are owned by or licensed to Properlix and are protected by applicable intellectual property laws.
Except for the limited rights expressly granted in these Terms, no rights are transferred to you. You may not copy, distribute, modify, create derivative works from, or exploit the Services except as expressly permitted.
12. Confidentiality
Each party may receive confidential information from the other in connection with the Services. The receiving party will use such information only for purposes related to the Services and will protect it with reasonable care. This obligation does not apply to information that is public, independently developed, lawfully received from a third party, or required to be disclosed by law.
13. Availability and Changes
Properlix will use commercially reasonable efforts to make the Services available, but does not guarantee uninterrupted or error-free operation. Maintenance, updates, downtime, security events, and dependencies on third-party providers may affect availability.
We may modify the Services from time to time, including adding, changing, or removing features.
14. Warranties Disclaimer
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. Properlix disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
We do not warrant that the Services will be uninterrupted, secure, error-free, or that outputs or results will meet your expectations.
15. Limitation of Liability
To the maximum extent permitted by law, Properlix will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data, or anticipated savings, even if advised of the possibility of such damages.
To the maximum extent permitted by law, the aggregate liability of Properlix arising out of or relating to the Services or these Terms will not exceed the amounts paid by you to Properlix for the Services during the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.
16. Indemnity
You agree to defend, indemnify, and hold harmless Properlix from and against claims, liabilities, damages, losses, and expenses arising from:
- your use of the Services in violation of these Terms or applicable law;
- Customer Data or materials you submit;
- your infringement of third-party rights; or
- your misuse of AI outputs or communications sent through the platform.
17. Suspension and Termination
Properlix may suspend or terminate access to the Services if:
- you breach these Terms;
- payment is overdue;
- your use poses a security, legal, or operational risk; or
- we are required to do so by law.
You may stop using the Services at any time. Upon termination, your right to access the Services ends, though certain provisions of these Terms will continue to apply by their nature.
18. Data Retention and Deletion
Following termination or expiration, Properlix may retain and delete Customer Data in accordance with its retention policies, contractual commitments, backups, legal obligations, and legitimate business needs. You are responsible for exporting any data you need before termination where export functionality is available.
19. Governing Law and Disputes
These Terms are governed by the laws applicable in the jurisdiction where the service provider is established, unless mandatory consumer or data protection laws require otherwise. The parties agree to attempt to resolve disputes in good faith before initiating formal proceedings.
20. Changes to These Terms
Properlix may update these Terms from time to time. The updated version will be posted with a revised "Last updated" date. If changes are material, we may provide additional notice. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
